Terms of Service - A Legally Binding Agreement

1. Introduction

Welcome to PassiveMoneyAI, a service provided by Xquantum Private Ltd ("Company", "we", "our", or "us"). By using PassiveMoneyAI, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our services. Continued use constitutes binding acceptance, and you must read and understand these Terms before use.

2. Eligibility

You must be at least 18 years old or have parental/guardian consent to use PassiveMoneyAI. By accessing our services, you confirm that you meet these requirements and are competent to contract under the Indian Contract Act, 1872.

3. Services

PassiveMoneyAI provides AI-driven tools that interact with third-party Broker APIs to facilitate trading. We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without prior notice, and without liability to users. Services are provided "as-is" and "as available", with no guarantees of profitability or uptime.

4. Regulation

PassiveMoneyAI is currently not regulated by any financial authority, including the Securities and Exchange Board of India (SEBI). Users acknowledge this and agree to use the platform with full awareness of its unregulated status. The service does not offer investment advice or recommendations, and users are responsible for their own financial decisions. The Company does not hold a SEBI registration. While we aim to pursue regulatory approval in the future, such actions are not guaranteed and remain at the sole discretion of the Company.

5. User Responsibilities

You agree not to use PassiveMoneyAI for illegal, abusive, or harmful purposes under applicable Indian laws, including the Information Technology Act, 2000 and the Indian Penal Code.

By accessing and using PassiveMoneyAI, the User expressly acknowledges that the platform is not regulated and voluntarily chooses to proceed with full understanding of the associated risks. The User also understands that investment in the stock market is inherently risky and may result in partial or total loss of capital. The User further accepts that PassiveMoneyAI may terminate or suspend its services at any time without notice. Management of the User’s brokerage account, including any third-party integrations with PassiveMoneyAI, remains the sole responsibility of the User at all times. Users agree to indemnify and hold harmless the Company for any misuse or legal liability arising from their use and are solely responsible for maintaining compliance with tax and financial laws.

Prohibited uses include, but are not limited to:

• Uploading or generating inappropriate, offensive, or illegal content.
• Violating intellectual property rights of others.
• Attempting to hack, reverse-engineer, or disrupt our services.

6. Privacy Policy

Our use of your data is governed by our Privacy Policy. By using PassiveMoneyAI, you consent to our data collection and usage practices in accordance with Indian laws, including the IT Act, 2000, and applicable data protection regulations. User data may be stored on third-party servers, and users consent to such transfer.

7. Payment & Refund Policy

PassiveMoneyAI provides certain services that require payment. All payments made towards topping up or adding balance for the use of PassiveMoneyAI's paid services are strictly non-refundable, under any circumstances. By making a payment, the user explicitly agrees and acknowledges that such payments are final and non-reversible. All fees are deemed earned upon receipt, and users waive any right to class action or collective dispute resolution regarding payments. PassiveMoneyAI reserves the right to amend the pricing structure or introduce new charges at any time, with or without prior notice. In the event of billing discrepancies or technical issues, users may contact our support team at:support@passivemoneyai.freshdesk.com. However, such inquiries shall not constitute a basis for refunds unless expressly provided under applicable Indian laws.

8. Intellectual Property

PassiveMoneyAI and all its content, including but not limited to text, graphics, logos, and software, are the intellectual property of Xquantum Private Ltd. PassiveMoneyAI branding is trademarked, and misuse is subject to legal consequences. Users may not copy, modify, distribute, or use our content without permission.

9. Limitation of Liability

Xquantum Private Ltd shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, use, data, or other intangible losses, resulting from the use of or inability to use PassiveMoneyAI. The Company is not liable for any trading losses, third-party API issues, or service unavailability.

10. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, and resolved through arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed mutually, and failing agreement, in accordance with the rules of the Indian Council of Arbitration. The seat and venue of arbitration shall be Bangalore, and the language of arbitration shall be English.

11. Modifications to Terms

We reserve the right to update these Terms at any time. We encourage you to review them periodically. Your continued use of PassiveMoneyAI after changes constitutes acceptance of the updated Terms. The Company is not obligated to provide individual notice of changes beyond updating the terms on the site.
